Welcome to IgniteUps.ai. These Terms of Service ("Terms") govern your use of our website,
services, and applications (collectively, the "Services") operated by IgniteUps.ai.
By accessing or using our Services, you agree to be bound by these Terms. If you disagree
with any part of these terms, then you may not access the Services.
We reserve the right to update these Terms at any time. We will notify you of any changes
by posting the new Terms on this page and updating the "last updated" date.
IgniteUps.ai provides an AI-powered sales engagement platform for automotive dealerships.
Our Services engage dealership leads and customers through SMS, email, and voice conversations —
which may be generated using automated technology and AI systems — to follow up on inquiries,
answer questions, re-engage past customers, and schedule appointments, with activity synced to
the dealership's CRM.

Demo Booking Services
We offer product demonstration and consultation services through our booking platform. By scheduling a demo, you consent to:
- Receive emails, phone calls, and text messages from our team
- Recording of demo sessions for quality and training purposes
- Follow-up communications about our services
- Storage of your contact information and preferences
AI Communications & Customer Data
When a dealership uses our Services, communications with its customers are sent on the
dealership's behalf and may be generated using automated technology or AI systems. The
dealership is responsible for having the appropriate rights and consents for the customer
data it provides to the platform. We honor customer opt-outs: replying STOP to any text
stops further texting, and consumers may submit a request through our
Do Not Sell or Share page at any time.
Before an AI model writes or reads a text, email or website-chat message, we replace the
customer's name, phone number, email address, street address, VIN, stock number and finance
figures with placeholders, and put the real values back on our own servers. We keep a
tamper-evident record of each opt-in and opt-out we can evidence, which you can share as a
read-only proof page. How we handle, keep and delete customer data is set out in our
Privacy Policy.
Service Availability
We strive to provide reliable, continuous service but cannot guarantee uninterrupted
availability. Scheduled maintenance will be announced in advance when possible.
Account Creation
To access certain features, you must create an account. You are responsible for:
- Providing accurate and complete information
- Maintaining the security of your account credentials
- Notifying us immediately of any unauthorized access
- All activities that occur under your account

- Must comply with applicable laws

- Use strong, unique passwords
- Don't share account credentials
- Sign out on shared devices
- Monitor account activity regularly
Prohibited Activities
You agree not to use our Services for any of the following prohibited activities:

Our Rights
The Services and their original content, features, and functionality are owned by IgniteUps.ai
and are protected by international copyright, trademark, patent, trade secret, and other
intellectual property laws.
Your Content
You retain ownership of content you create using our Services. However, you grant us a
limited license to:
- Host, store, and display your content
- Provide technical support and maintenance
- Backup and restore your data
- Comply with legal obligations
Billing
- Subscription fees are billed in advance
- Prices are in USD unless noted
- Automatic renewal unless cancelled
- Price changes with 30-day notice
Refunds
- Fees and setup charges are set out in your service agreement
- Cancellations take effect at the end of the current billing period
- Fees already paid are non-refundable unless your agreement says otherwise

Payment Processing
All payments are processed securely through our third-party payment processors.
We do not store your payment information on our servers.
Our Role
For the customer data you provide to the platform, we act as your service provider. We use
it only to deliver the Services to you, as instructed by you and as described in our
Privacy Policy. We do not sell
it, and we do not allow the AI providers we use to train their models on it.
Safeguards
Where you are a financial institution under the FTC Safeguards Rule, we maintain safeguards
appropriate to the customer information we process for you. In every case we:
- Encrypt your data in transit and at rest
- Keep each dealership's data walled off from every other dealership
- Limit access to staff who need it for their role, and log changes to a tamper-evident audit trail
- Engage only the service providers listed at igniteups.ai/subprocessors, each of which receives only the data its job needs
- Notify you without undue delay, and in any event as required by law and your service agreement, of a security incident affecting your customer information

Termination by You
You may terminate your account at any time by contacting us or using the account settings.
Upon termination, your right to use the Services will cease immediately.
Termination by Us
We may terminate or suspend your account immediately, without prior notice, for:
- Breach of these Terms
- Violation of our Acceptable Use Policy
- Non-payment of fees
- Illegal or harmful activities
Your Data After Termination
Thirty days after your cancellation takes effect, your customer records, conversations,
messages and call recordings are permanently deleted from the platform, and you receive a
certificate of deletion. Backup copies expire within 7 days after that. Once erased, an
account cannot be reactivated. If you need a copy of your data, ask us before your last day.
We keep only what the law or an ongoing obligation requires: minimal opt-out records so
customer opt-outs keep being honored, consent and opt-out evidence, billing records, and our
security audit trail. Written communications of a California dealership are kept for the
two years state law requires before they are deleted.
Service "As Is"
Our Services are provided "as is" and "as available" without warranties of any kind,
either express or implied, including but not limited to warranties of merchantability,
fitness for a particular purpose, or non-infringement.
We do not warrant that the Services will be uninterrupted, error-free, or completely secure.
You use the Services at your own risk.
Liability Cap
In no event shall IgniteUps.ai be liable for any indirect, incidental, special,
consequential, or punitive damages, including but not limited to loss of profits,
data, use, or other intangible losses.
Our total liability for any claims arising from these Terms or your use of the Services
shall not exceed the amount you paid us in the twelve months preceding the claim.
Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the
State of Texas, United States, without regard to conflict of law provisions.
Any disputes arising from these Terms or your use of the Services shall be resolved
in the courts of Travis County, Texas.
